BETWEEN §M/S. Bhimavaram Community Network, having its registered office at D.No2++11, allakuri Vari Street, Srirampuram, Bhimavaram-534202, represented by its Authorised signatory, MR. Rudraraju Lokesh Varma, hereinafter referred to as the LESSOR” which expression shall unless repugnant to the context or meaning thereof, be deemed to include its successors, assignees, legal heirs and executors of the ONE PART. Floor, Kallakuri Vari Street, Srirampuram, Bhimavaram — 534202, represented by its Authorised signatory, MR. Mudunuri Raja Gopala Raju hereinafter called the “LESSEE” (which expression shall unless it be repugnant to the context or {meaning thereof be deemed to mean and include his/her heirs, legal representatives, executors, administrators and assigns) of the OTHER PART. TR Gepak Roza Authorised Signatory WHEREAS the LESSOR is the absolute owner of all that piece and parcel of Building or property situated at D.No.24--11, Kallakurivari Street, Srirampuram, Bhimavaram- 534208 (hereinafter referred to as the “Premises”. WHEREAS the LESSOR agrees to give on lease a portion of the demised premises fully described in schedule hereto to the LESSEE, for locating its office. AND WHEREAS the LESSEE has agreed to take the premises on rent from the LESSOR with effect from 01-11-2022 on the terms and conditions hereinafter ‘mentioned. 1, ‘That the LESSOR hereby declares that he is the absolute owner of the demised premises and also declares that the LESSEE can occupy the premises free from any encumbrances. LESSOR also undertakes to indemnify any loss that the LESSEE may suffer due to any such encumbrances. 2 That this indenture of lease in respect of the premises shall commence with effect from 01-11-2022 and shall be in force for a period of 3 (Three) year (hereinafter referred to as “Initial Term”), 3 ‘That the Lease shall be further renewed beyond the initial term for a further period on mutually agreeable terms. 4. That for the purpose of renewal of lease, the LESSEE shall give a notice in writing to the LESSOR at least 1 (One) month in advance before the expiry of the initial term of the lease. ‘That the LESSEE shall pay to the LESSOR a rent of Rs.22,000/-{Twenty Two ‘Thousand only). This amount is inclusive of all taxes present and future as may be in force at that time. The amount will be paid after deducting any applicable taxes that are required to be deducted as per the law in force at the time. The rent shall be payable, in respect of the preceding month, on or before the 10th day of each English Calendar month. 6. That the LESSOR shall pay all present rates of taxes, ground rent, house tax, assessments, other charges and out-goings, imposed or payable to the Municipal Corporation or Government or any local authority in respect of the said premises. Each party hereby unconditionally undertake to indemnify and keep indemnified the other party against all loss, claims, demands, actions, penalties, prosecutions, proceedings, damages, costs, liabilities, expenses or payments of any nature whatsoever arising in any way as a consequence of any breach by either party of any term, conditions or covenants of the Lease granted herein. H.R Gopela Regu ‘Authorised Signatory ‘That the LESS indertakes that it shall not sub-let or otherwise part with possession of the said premises in part or in full without the prior consent of the LESSOR in writing, ‘The LESSEE shall have unrestricted right to use the rental premises for installing of equipments and drawing of such cables (to and from the equipment), in and around the premises, necessary for its business. The LESSEEs employees/ representatives shall have unrestricted access to the equipments installed at the rental premises at all times, without any hindrance/ Objection to carry out any breakdown and/ or maintenance work on the equipment 10, The LESSOR shall ensure that the equipments installed at the premises will not be tampered/ fiddled and that no one other than LESSEEs employees/ representatives carrying valid identity cards shall have access to the equipments. ‘The LESSOR shall ensure safety of the equipments installed at its premises. 11. The LESSOR shall ensure continuous power supply. The LESSEE shall pay the electricity (power and light) charges. 12, The LESSEE shall permit, on 24 hours prior notice, the LESSOR and their agents, surveyors and workmen with all necessary appliances, to enter the said premises during working hours, for the purpose of inspecting the condition of the said premises or doing such work as may be required or necessary for repairs, alternations or improvements of the building, water pipes drains ete., for enabling the LESSOR to perform any of their covenants and conditions contained herein. 18. If for any reason the LESSEE wishes to terminate the lease during the initial lease term, or the extended term, if any, the LESSE] least Three months advance notice or rent in lieu thereof, to the LI Agreement shall stand terminated in the event of breach of terms and cond agreement and the defaulting party fails to cure such breach within 1 (One) months from the date of receipt of notice in writing in this regard, 1% — Any notice to be made or given to the LESSEE under these presents shall be sent by Registered A.D. post at the address of the LESSEE mentioned hereinabove or the changed address, if any as may be notified. Any notice to be made or given to the LESSOR shall also be sent by Regd. A.D. post at the address of LESSOR mentioned hereinabove or the changed address, if any as may be notified. 15. If due to any accident or natural causes, viz. act of God, the premises are rendered unusable, the LESSEE would not be required to pay the rent till such time the same is brought to its original condition by the LESSOR. 16, That the LESSOR is at liberty to transfer title, rights and interest in the above premises to the third party/parties and terms of this Agreement shall be binding For The Bhimavaram Compunity Net AVork For VIJAYALAKSHMI NET SERVICES PVT. FR Gopal Raga Authorised Signatory on the Transferee and LESSOR shall be under legal obligations to get a letter of confirmation from the Transferee, to whom premises are transferred, with regard to binding conditions and the terms of this Agreement. 17, LESSEE hereby represents that on the expiry of the agreement or its earlier revocation / termination, the LESSEE shall hand over peaceful and vacant possession of the said premises along with its fixtures and fittings as existent at the time of the agreement except normal wear and tear. 18, "That in case of any dispute arises between the parties in respect of any terms and conditions of this Lease Deed and if the same cannot be resolved amicabl same shall be referred to the sole arbitrator to be appointed by LESSEE. The decision of the Arbitrator so appointed shall be final and binding on both the parties.
