HR Career Hub Legal Officer OVERALL PURPOSE: To provide immediate legal advise on transactions incurred by different Strategic Business

Units of the company. MAJOR RESPONSIBILITIES: 1. Drafts and negotiates contracts including license and support agreements, distribution agreements, confidentiality agreements, joint developmental agreements, consulting agreements, etc. 2. Manages external counsel and deals with corporate legal matters. 3. Responsible for intellectual properties including patents and trademarks. 4. Reviews underwriting agreements and related documents and see if they comply with loans, rules and regulations. 5. Reviews contracts, BIR assessments, court orders to minimize exposure to risk, prevent any possibility of legal problems. 6. Drafts resolutions, amendments to A&I and by laws to ensure compliance with SEC,PSE & BSP requirements. 7. Oversees and coordinate with external legal counsel on legal case by providing documentary evidence, preliminary review of BIR assessments to provide support for proceedings the company is involved in. 8. Reviews and coordinate corporate housekeeping and compliance documents subsidiaries for possible cost-saving measures. QUALIFICATIONS: Education: Bachelor of Law preferably corporate commercial law.
