BALCO is also in process of putting up an additional power plant of 1200 MW and 650000 TPA Aluminium smelter.

ANNEXTURE I BALCOS GENRAL TERMS AND CONDITIONS TERMS : 1. Price: Price quoted shall be firm for the contract period. We are looking for quality service providers, on a long-term basis and hence it is advised that a most competitive offer is given while quoting giving no room for negotiation. We intend to avoid negotiation and you may not be even called for negotiation if your price is not competitive. 2. Taxes & Duties: Only Service Tax will be paid extra at actual, subject to documentary evidence. 3. Duration of Contract : Contract Duration will be 12 Months. However, BALCO reserve the right to extend the contract beyond the period or short close the contract without giving any reason thereof. The decision of BALCO shall be final and binding in this regards. 4. Payment Terms: Payment will be released against certified bills once every month. 5. Acceptance of Offers: BALCO is not bound to accept the lowest offer or to give any reasons for rejection of any offer and it shall be the sole discretion of the company to consider or reject any bid. A formal Contract shall be issued by BALCO towards the successful bidder in the event of acceptance of the offer. Unless a formal contract has been concluded no offer shall be deemed as accepted. Balco reserves the right to award contract to more than one agency or split the contract at its own discretion. 6. Modification & Agreement: BALCO shall have the right to modify the contract quantity in view of variation of requirement, price increase / decrease. Modification of Agreement may also take place in contract period as it may be shortened or extended in proposition to our supply pattern as we full depend on our contractors commitments. 7. Damage To Balcos Property: Any loss / damage to Balco due to negligence or willful attitude of the contractor or his employees while execution of the contract shall be recovered from the contractors pending bills. 8 Occupational Health & Safety: The contractor shall be responsible to take all precautions to ensure safety of the labours / workers at work. The contractor will supply his labours / workers safety equipment as per rules. If your bringing your own equipment to carryout of job in side the plant such equipment should be subject hazard identifications and risk assessment prior to commencing of work . The persons engaged by you shall be given appropriate aver ness on OH&S, those personal who will carryout jobs affecting OH&S shall be properly trained and made competent for the job performed by them. During emergency situation which may be faced in the plant your personal should move to the emergency shelters. They should not lighter around nor spread any rumor. Page 3 of 16

Labor Laws: The contractor shall be fully responsible for observing all statutory laws in respect of the contract labor engaged by him as applicable under payment of wage, minimum wages act. Contract Labor engaged by him as applicable under payment of wage minimum wages act. Contract Labor (Regulation Abolition Act 1970) FACTORIES Act 1965, Payment of Gratuity Act 1972, Maternity benefit Act 1961, retrenchment benefit, Industries employment (standing order) act MP Industrial relation act & ESI and amendment thereof. The contractor will discharge various liabilities relating to employee PF, Misc. provisions act 1952 contract labors as per procedure of Balco enforce. Contractor having valid labor license for 20 or more than 20 workers shall be considered for award for which contractor are required to submit photocopy of Labor license along with the tender. Other Laws of the Land: The contractor shall observe all laws of the land including those of Local, State and Central Government. Assignment or Subletting: The contractor shall not assign or sublet the contract or any part thereof, without prior permission of Balco in writing. Indemnity: The contractor shall keep Balco indemnified from and against all actions, suits, proceedings, losses, costs, damage, claim and demands of every nature and descriptions due to any acts of the contractor. Insurance: The contractor will take workmen compensation insurance policy from the Insurance Company so as to enable him to discharge various liabilities under workmen compensation act and submit documents within seven days of its start of work. The contractor shall be required to obtain Group Insurance Policy for the labors to be engaged in the work. Illegal Gratification: This contract can be terminated if any bribe, commission, gift or advantage given, promised or offered by the contractor to any employee of Balco. Penalty: Balco shall levy any suitable penalty as it deems fit for failure of the contractor to complete the assigned work in time or not doing the quality work as per specifications. In case the contractor does not pay the penalty, the same shall be recovered from his running bills. Fall Clause: If the contractor is found at any stage to execute similar work at any other places / company at rates lower than awarded in Balco, then the contractor shall pass on the difference amount to Balco. Force Majeure:

For failure of execution of any work due to war, restraint, imposed by government, earthquake, fire, explosion, riot, lockout, etc, beyond human control directly interfering with the work, Balco shall only allow such additional time as may be considered justified by the circumstances of the case. No claim whatsoever of compensation from the contractor for loss etc. on this account shall be entertained. Direct or indirect loss, if any, to Balco due to negligence of the contractor during this period, on this account can however be recovered from the contractor. 18 Termination: Balco reserves the right to terminate the contract at any time with or without notice if the work is found unsatisfactory and also get the work done through any other any agency at the risk and cost of the contractor. Violation of any of the above terms may also lead to cancellation of the contract and liabilities of the contractor, if any, shall be deducted from his pending bills. Obstruction Of Work: Contractor shall ensure all timely payment of dues to their workmen. In case contractors staff or workmen or are found obstructing the normal working of Balco, the same shall be viewed seriously and shall make this contract liable for termination. 20 Contractor shall issue Photo Identity Card to all the workers before commencing of work. 21. Police verification of all the workers. 22. To follow the procedure laid down by the management for Entry and Exit of the contractual workers. 23. To deposit a contract copy in the Security Office. 24. Contractor should restrict the movement of workers only to the place specified in the contract. Security shall be carrying out random checks 25 . Enviornment : All the scrape generated after execution of the jobs shall be disposed in appropriated identified brins 26. Arbitration: . In case of any dispute or difference between the Parties the matter shall be decided by mutual negotiation & agreement. If any difference persists on a matter of law or interpretation of this document the decision of mutually appointed arbitrator would be final & binding. All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one Arbitrator appointed in accordance with the said Rules. The Contract shall be governed by, construed and interpreted in accordance with the laws in India. The venue of Arbitration shall be at Korba India only. The Arbitration shall be held in English language and the award of the Arbitration shall be final and binding to both the parties. 27. Jurisdiction: This contract will be subject to Korba, Chhattisgarh Jurisdiction only for all legal matters.

This offer is valid for a minimum period of 90 days from09.07.2011. 3. We agree that any Contract placed as result of this offer will be in accordance with the terms & conditions in the said offer. We declare that any other terms or conditions of the contract or any general reservations which may be printed on any correspondence of documents emanating from us in connection with tender shall not form part of any resulting contract unless specifically agreed to by BALCO and included in this contract. 4. Technical Scope of work


The scope of work is divided in three parts as defined hereunder: 1. Diagnostic testing of 220 kV and 33 kV switchyard equipments 2. Asset management contract for three years Scope of Work 1. Diagnostic testing of 220 kV and 33 kV switchyard equipments (Annually) Diagnostic tests of 220/33/11kV switchyard equipments (CPP1, CPP2, MRSDS and Smelter 2) as per the scope defined below including but not limited to tests mentioned below will be carried out on once every year minimum and as required. Diagnostic tests proposed for the various switchyard equipments are given below. The diagnostic testing will be done as per mutually agreed schedule / or as and when required. CIRCUIT BREAKERS:

RELAY TESTING 1. Contract Agency has to arrange necessary Test Bench / Kit for testing of all the relays falling under Battery Limit at site as per mutually agreed schedule or as and when required. 2. Contract Agency has to arrange expert for Relay testing specially for RED , REL, Areva, Alstom, SIEMENS & other relays installed in Transmission Lines and Generator stations, rectifier stations etc once in a year or as & when required within battery limit. 3. The contract Agency has to keep a good quality current injection kit to check entire trip circuit with relay by primary injection minimum once in a year or as & when required. Contract agency has to submit the test report of individual equipments mentioned above within 2 days from the date of testing & within 1 month from the date of testing with expert recommendation & at the end of the year in the compiled form area & equipment wise. HOTLINE MAINTENANCE Contract Agency has to arrange Hot Line maintenance team for critical work to attend problem in online condition as and when required. OIL TESTING Contract Agency has to arrange Testing of Transformer oil minimum once in a year or as and when required in case of recommendation from Testing Agency. BALCO accepts testing Agency only CPRI / ERDA and submit the report within two months from the date of sample collection with recommendations. OIL FILTERATION Contract Agency has to arrange its own filtration m/c as and when required for filtration of Oil. THEROMOGRAPHY Thermography of total switchyard equipments, entire transmission line to check hot spots. Thermography will be done at least once in four month apart from need base. Report to be submitted within one month. This is online test and can be done only when switchyard is in charged condition and preferably on full load.

Result Analysis and Report submission 1) Contract Agency has to handover test report with recommendation of Expert after every test within 1 month to concerned Engineer In charge. 2) Contract Agency will compile and submit all the test results with expert recommendations Plant wise (CPP-1, CPP-2, MRSDS, PLANT-2) and equipment wise at completion of year with comparative sheet.

2. Asset management contract for three years Asset management contract is for three years for the following switchyards (220KV /33 KV / 11 KV / 6.6 KV) and associated 220 kV transmission lines as defined hereunder. Battery Limits will be from generator terminals to DC bus upto DC Isolator includes all electrical controls, protections and monitoring equipments including Rectiformer controllers their auxiliarys entire electrical of cooling towers of both the plants. 1. MRSDS Switch yard Equipments up to 33 KV, 2 no. Aux transformers of 33/6.6 KV, its Capacitor Banks, related control panels, control room, Transmission Lines between MRSDS-CSEB etc. 2. CPP#1- From Generator Terminals to MRSDS Receiving End including UAT, SAT, GT and Transmission Lines between MRSDS-CPP1 etc. 3. New Switchyard - From Generator Terminals to DC BUS upto DC Isolator including UAT, SAT, GT, UT and Transmission lines including Rectiformers control and entire auxiliaries system associated with these, Transmission Lines between MRSDSPlant switchyard etc.

Major Equipments 220 KV Bays in double bus system (Includes Bus, Breaker, Isolators CT,CVT,LA , Controls & Protection cabinets, etc) 33 kV Bays in double bus system (Includes Bus, Breaker, CT, CVT, LA, Isolators, Controls & Protection Cabinets etc) 220 kV Transformers, Rectiformers with current controller (PSR-2) Auxiliary transformers UAT, SAT in CPP#1 & CPP#2, All Electrical systems for auxiliaries of Rectiformers such as cooling system/tower of rectifier, lighting of Switchyard & Rectifier Station, all equipments in Control room etc. 220 KV,33 / 6.6 KV Transformers in MRSDS switch yard its control panel. Capacitor Banks in SM#2 associated with rectifier, 6.6 KV in MRSDS Equipment associated with CILMS of all stations (CSEB, CPP1 & 2, MRSDS, and SM-2).

The detailed scope of work for the Asset management contract is defined as follows: The scope of work is to carry out maintenance activities, which include planning and execution of maintenance activities of the plant electrical systems, which includes CPP1, CPP2, MRSDS and Smelter-2 Switchyard equipments & its control panels including auxiliaries, Power Transformers; battery banks. Objective shall be to maintain the plant and equipment in safe and efficient working condition. The Scope includes:

All the maintenance activities of switchyards electrical equipments / systems. maintenance activities include Planning co-ordination and execution of1. 2. 3. 4. 5. 6. Condition monitoring of the electrical equipments Condition based and Predictive maintenance Preventive maintenance. Breakdown maintenance. Failure analysis for major breakdown. Contract Agency has to arrange Technical expert of Rectifier of plant-2 (From manufacturer of Equipment) once in four months to ensure healthiness of the system and make available experts within 48 Hrs in case of emergency. 7. Contract Agency has to arrange Technical expert of Rectifier controller plant-2 (From Manufacturer of Equipment) once in Fours months to ensure healthiness of the system and make available experts within 48 Hrs in case of emergency. 8. Contract Agency has to arrange experts for overhauling of Tap changers of Rectifiers, VFD, and HLR 84 etc once in a year / as and when required. Material for overhauling will be provided by BALCO). 9. Overhauling of 220 KV Circuit Breakers as per schedule ( materials to be provided by BALCO) 10. Contract Agency has to arrange experts for maintenance of Water Sprinkler system, fire installation system etc once in 3 months / as required for ensuring healthiness of the system. Contract Agency will arrange/hire the services of a Fire expert within one month from award of contract to do the survey of all the fire system and give recommendations for improvement of existing system. 11. Maintenance of Equipment associated with CILMS Contract Agency has to arrange experts of CILMS from ABB Bangalore once in 3 months for checking of Entire system. In case of any critical problem agency has to make available expert within 48 Hrs. 12. Specialized services required to meet the deliverables Contract Agency shall arrange for the same at no extra cost. 13. Other Services 1. Fire Fighting System- Transformers, Rectiformers, Control Rooms, Cable galleries within the battery limit 2. Annual overhauling of all 33 KV BOCBs, MOCBs breakers and all Isolators. 3. Maintenance of all 33 kv / 11/ 6.6 kv cable termination in switchyards within battery limit and associated control panel ( Spares such as jointing kit etc will be provided by BALCO ) 4. Testing & calibration of relays with primary & secondary Injection. Contract agency will have a primary injection kit for the purpose. 5. House keeping of switchyards and vegetation cutting - Contract Agency must ensure complete devegitation inside the switchyard, two meter periphery of Switchyard, Cutting of trees / bushes under and surrounding of Transmission tower.
