CHESTERFIELD VILLAGE HOMEOWNERS ASSOCIATION, INC.

Minutes of the Board of Directors Meeting The Board of Directors of Chesterfield Village Homeowners Association, Inc., a Missouri non-profit corporation, held a meeting at the Chesterfield Village Homeowners Association Clubhouse in Springfield, Missouri on February 7, 2005 at 7:00 p.m., pursuant to the notice posted at the association clubhouse. The following directors of the corporation were present: Susie Brothers, Warren Carlson, Steve DeFord, Ron Wiedemann, Jim Wilkins, and Chuck Woolley and Martha Plummer. The meeting was called to order by President Chuck Woolley. A. Secretarys Report A copy of the minutes from the January board meeting was emailed to board members earlier in the month and a hard copy was distributed to each member at the meeting. A change was needed to correct the late fee mentioned for past due CAMS. Motion was made, seconded and approved to accept the minutes with noted change. B. Treasurers Report We have $79,356.70 in the checking account and a CD worth $30,950.64 which matures this coming Wednesday, February 9, 2005. Discussion followed on converting the CD to a 3-month CD and purchasing a 2nd CD worth $30,000 from the existing cash. Jim Wilkins reported CVHA has an interest-bearing business checking account at Signature bank. We pay a fee for banking services and earn interest on our average daily balance. There is a six-month $30,000 CD, which matures on February 9, 2005 and has earned a 2% interest. If it is renewed for another six months it would currently earn 3% interest Our current State Farm Condominium policy is effective until January 10, 2006. It has a $100,000 Fidelity Bond rider covering each board member. The policy also has a two million dollar business liability coverage. Our agent, Jim Roebuck, has offered to visit with the board to explain our policy coverage. Mr. Roebuck provided price quotes for a higher deductible than the current $500. CVHA has a 3-year contract with American Disposal Services at $8.00 per house per month through 9/30/07 for trash removal, including recycle pickup on request at no additional cost. The board members discussed listing the $96.00 per year trash cost separately on next years CAMS statement for 2006. The clubhouse telephone service is billed at a business rate, which is higher than a normal residential rate. There would be an extra $20.00 charge per month to put a block on long distance calls. There is no long distance carrier identified for the telephone, so basically, long distance calls could not be made. We do have protection from collect, 3rd party and 900# calls. CVHA receives four different monthly bills from CU. CVHA is billed at a commercial rate since the Association is non-residential. The four bills consist of: 1. 2. 3. 4. Irrigation, which is water only, showing an address of 2220 W. Dearborn. Pool, which has electric, gas, water and sewer service charges, with an address of 2321 W. Westview. The clubhouse has only electric and gas service charges, showing an address of 2323 W. Westview. Light(s), electric service only with a 2303 W. Westview address.

Some of the charges are simply for having the service available. There is a minimum monthly charge of $75.69 for water irrigation even if the association uses no water. There is no charge to disconnect a service, but it is $15.00 to reconnect. Jim would like to have the option of making e-payments for City Utilities and SW Bell bills.

Page 2 Motion was made and seconded to use e-payments for CU and SW Bell, purchase two CDs as mentioned above, and list trash service separately on the CAMS statement beginning in 2006. C. Presidents Report We received a hand delivered letter from Anna Crane last month. After reading the letter the board made the decision to not respond to the letter due to the fact that all the allegations were addressed in December 2004 at the annual homeowners meeting. Chuck asked Jim Wilkins for the report from the December 2004 meeting from Lisa Middlebrooks, CPA, stating she found no wrongdoing in the records. Construction plans submitted by Bill Mace to the Architectural Committee for approval before construction began on the house now under construction at 2250 W. Dearborn were reviewed to see if a 2nd opening to the garage on the SW side of the house was shown in the original plans. It was determined a 2nd opening for doors was not shown or approved. A letter was sent to Mr. Mace requesting he meet with the architectural committee to discuss concerns over the timeliness of finishing construction on the house and the unapproved opening to the garage. D. Grounds Report Chuck Woolley and Warren Carlson meet with Harry King to discuss various concerns about algae and overflow we have experienced in the past with the detention pond. Greenskeeper fertilized and treated the grounds and the median along Chesterfield Boulevard up to Scenic for dandelions. Seven members of the Fence committee met at 7:00 pm on January 27, 2005. The committee discussed the history of the fence and the property lines along Cox road and then walked down to the fence to view it first-hand. It was decided they would get a rework bid and second bid for total replacement and painting, restenciling the signs, etc. There will be a follow-up meeting of the Fence committee on February 21, 2005 at 7:00 pm. Discussion followed as to when the work would be done and the timeline for paying for the work. The work probably would not be done before May 1, 2005. The committee will get together every two weeks and give the final recommendations to the board. A presentation will later be given to the homeowners. E. Pool Report Steve DeFord asked for a report of pool expenses. Jim Wilkins gave a run down of expenses. Steve asked why we charge residents a rental fee to use the clubhouse outside of the deposit. Discussion followed. Steve recommended we consider incorporating a rule of having no fee charged and establishing a Social Committee to incorporate a night for games, etc. to draw the neighborhood together and make the clubhouse more accessible to homeowners. Motion was made and seconded to consider working on the idea of establishing a Social Committee. Neighborhood Watch Ron Wiedemann is working to make contact with the officer in charge of Neighborhood Watch at the Springfield Police Department to obtain information about Neighborhood Watch programs. Ron has helped reestablish the Chesterfield Village website so information can be posted on the web to aide in communication between the board and homeowners. This is a public website and this will need to be kept in mind when posting information. The minutes from last months board meeting are posted on there now.

Page 3 There was a $35.00 or $40.00 fee to register the website. Ron wasnt sure of the exact amount to register the site. New Business We will need to establish a new directory. How will that be done and who will keep it updated? Martha Plummer volunteered to compose and distribute the newsletter. Jim Wilkins volunteered to help with distribution.
