Model Contract

This Model Contract (this "Contract") is made effective as of May 04, 2012, by and between Vogue Magazine, Inc, of 440 Montgomery St., New York, New York 64201, and Katarina H. Cyrus, of 35 Palm Circle Dr., Corte Madera, California 95422. In this Contract, the party who is contracting to receive the services shall be referred to as "Vogue", and the party who will be providing the services shall be referred to as "Katerina". PURPOSE OF CONTRACT. This contract is for the engagement of Katarina H. Cyrus as a photographic model. Vogue Magazine, Inc will engage Katarina H. Cyrus as a photographic model for Vogue Magazine reserves the right to use any and all photos obtained under this contract for all edition released within 3 years of the date of this contract. DESCRIPTION OF SERVICES. Beginning on May 04, 2012, Katerina will provide the following services (collectively, the "Services"): Model shall perform for Vogue Magazine no less than ten photo shoots over a period of one month, with each photo shoot lasting no less than 1 hour. PAYMENT FOR SERVICES. Vogue will pay compensation to Katerina for the Services in the amount of $34,000.00. This compensation shall be payable in a lump sum upon completion of the Services. TERM/TERMINATION. Katarina H. Cyrus will commence work under this contract on May 04, 2012, at Los Angeles, California, and will continue to work until June 01, 2012, unless Vogue Magazine, Inc makes a good-faith determination, prior to that date, that Katarina H. Cyrus's services are no longer needed. In that case, Vogue Magazine, Inc may terminate this contract upon 2 day's written notice. Vogue Magazine, Inc may terminate this contract at any time if Service Recipient is dissatisfied with Katarina H. Cyrus's performance or for other good cause. WORKING HOURS. Katarina H. Cyrus will require Vogue Magazine, Inc to work no more than 6 hours on any day and no more than 18 hours in any week. Katarina H. Cyrus will not be required to remain on the set for more than 6 hours per day. WARDROBE. Vogue Magazine, Inc will furnish all Katarina H. Cyrus's wearing apparel for use in connection with the assignment with the exception of _________________. All items furnished by Vogue Magazine, Inc will remain the property of Vogue Magazine, Inc. TRANSPORTATION. Vogue Magazine, Inc will arrange and pay for Katarina H. Cyrus's transportation expense for the assignment. RELATIONSHIP OF PARTIES. It is understood by the parties that Katerina is an independent contractor with respect to Vogue, and not an employee of Vogue. benefit of Katerina. WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part by Katerina in connection with the Services shall be the exclusive property of Vogue. Upon request, Katerina shall sign all documents necessary to confirm or perfect the exclusive ownership of Vogue to the Work Product. CONFIDENTIALITY. Katerina will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Katerina, or divulge, disclose, or communicate in any manner any information that is proprietary to Vogue. Katerina will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Contract. Upon termination of this Contract, Katerina will return to Vogue all records, notes, documentation and other items that were used, created, or controlled by Katerina during the term of this Contract. INJURIES. Katerina acknowledges Katerina's obligation to obtain appropriate insurance coverage for the benefit of Katerina (and Katerina's employees, if any). Katerina waives any rights to recovery from Vogue for any injuries that Katerina (and/or Katerina's employees) may sustain while performing services under this Contract and that are a result of the negligence of Katerina or Katerina's employees. ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other contract whether oral or written. SEVERABILITY. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. APPLICABLE LAW. This Contract shall be governed by the laws of the State of California.
