VEHICLE LEASE AGREEMENT The vechicle lease agreement entered into this __________ at Gurgaon by and between: M/s

Starline Travels having its principal place of business at Shop no 1, Jadhav Chawl, Goregaon , Mulund link road goregaon (East) Mumbai 400 063 engaged inter alia in the business of supplying the vechiles on rentals to the clienst herinafter referreed to as Lessor AND Magna Powertrain incorporated under the companies Act 1956 and having its corporate office at ________________________________ hereinafter referred to Lessee, which expression shall unless repugnant to the context and meaning thereof successor be deemed to mean and include it successors and permitted assign of Magna Powertrain. Whereas Lessee is desirous of taking on lease vehicles as mentioned in Schedule A for its use and is also desirous of engaging the services of the lessor for the mointianence management and administration of the said vechicle : Lessor is willing to provide the said vechicle on lease and provide the management and Maintianece services for the said vechicle on the terms and conditions hereinafter contained IN CONSIDERATION OF MUTUAL CONVENANTS AND TERMS AND CONDITIONS HEREINAFTER CONTAINED THE FOLLOWING HAVE BEEN AGREED : 1. Lease of Vechicle : the lessor shall provide the said vechicle on the order of the lessee for the rentals mentioned in Schedule A attached to this agreement the lessor shall be the owner of the the said vechicle for all purpose and shall be responsible for all liablilities under the prov ision of Motor Vechicle Act and any other applicable state rules. The lessor aggress that any one having a valid driving licence may use the said vechicle. 2 Delivery : the lessor shall deliver the said vechicle with security installations namely Autocop to the lessee at the designated place within the time agreed as mentioned in Schedule A 3 Management and Mintainence: a the Lessor shall be responsible for servicing and / or maintainence of the said vechicle , which shall include but not limited to changing of tyres replacement / repairing of security installations or any other equipment / part of the vechile at he the sole dicretions of the lessee

b the lessor shall ensure replacement within mutually agreed time frame in the event the said vechicle is rendered in capableof use on account of any reason whatsoever including damage the lessor shall provide alternate vechicle in good conditions of the similar category within twenty four hours from the time of intimation by the lessee of the said vechicle becoming incapable of use and the same shall be as per the terms and conditions under this agreement. C the vechicle may be serviced or maintained by the lessee at the expense of the lessor. The lessee shall be entitled to deduct the said amount from the rentals payable by the lessee to the lessor. D all the maintainence and / or servicing will be done at Mumbia. E the lessor shall provide an alternate vechicle of similar category: i in the event the vechicle cannot be repaired within twent four hours ii in the event the vechicle is damaged ian any accident for the period until the vechicle is either repaired or serviced f the lessor shall be responsible for the services of the vechicle as per the manula supplied by the manufactu rer of the vechicle and servicing shall be done only at the authorized dealers of the vechicle. 4 Insurance : the Lessors shall obtain comprehensive insurance cover for the said vechicle for the period of this lease agreement. 5 Gap Insurance : The lessee shall be responsible for the any difference between the actual amount paid by the lessor and the claim amount paid by the insurance company in the event of theft or complete / partial damage. 6 Events of Breach: Non Compliance by the lessor with the obligations as mentioned in clause 3 and 4 above shall be deemed to be the braech of the lease agreement. 7 Terms of Lease : the lease period shall commence from the date of delivery of the said vechicle at the premises of the lessee and shall cease upon the completion of 3 years. Termination : the lessee at its sole discretion may terminate this lease agreement by giving a notice of one month in writing after completion of one year. Theis agreement may be terminated immediately by the lessee upon occurrence of a breach of any of the obligations of this lease agreement which is not remedied within 15 days after receipt of written intimations of such breach.

Indemminfications : the lessor shall hold the lessee indemnified against any claim made by any third party or statuatory authorities the lessor shall alos assist lessee in defining it self in any legal and administrative proceddings before any authority through out India in relation to the use of the said vechicle. Assignment : the present agreement will not be assigned by the lessor whereas the lessee is permitted to assign the rights and obligation under this agreement to third party. Loss and theft : the lessor shall inform the police or relevant authorities in the event of loss or theft of the vechicle. Payments : the lessor shall raise the raise the invoice on monthly basis the payments shall be made by the 15th day of the following month . the payment of rentals shall be subject to applicable taxes. The lessee shall be responsible for any toll tax payable during the usage of the vechicle. All the disputes arising out the present lease agreements shall be subject to exclusive jurisdications of Mumbai courts. The lease agreement along with its attachments embodies the entire vechicle lease agreement between the parties and supersedes all previous understandings or communications if any .
