By the contract of partnership, two or
more persons bind themselves to
contribute money, property, or industry
to a common fund, with the intention of
dividing the profits among themselves.
Two or more persons may also form a
partnership for the exercise of a
profession.

GENERAL PARTNERSHIP
General Partnership
Consisting of general partners who are
liable pro rata (in proportion) and
subsidiarily, sometimes solidarily with their
separate property for partnership debts.
It is a partnership in which partners share
equally in both responsibility and
liability.
Example
A, B and C are partners. The business
is already insolvent. D, the creditor,
may exhaust the properties of A, B
and C for the fulfillment of the
business obligation to him.
