INTRODUCTION
ICICI (Industrial Credit and Investment Corporation
of India) is an Indian multination banking and financial
services company. Headquarter in Mumbai,
Maharashtra, India with its registrated office in
vadodara. In 2014, it was the 2nd largest bank in India in
terms of assets and 3rd in term of market capitalization.
It offers a wide range of banking products and financial
services for corporate and retail customers through a
variety of channels and specialised subsidaries in the
areas of investment banking, life, non capitalisation.
ICICI bank is one of the Big Four Banks of
India, along with State Bank Of India, Punjab
National Bank Of India, and Bank Of Baroda.
The bank has the subsidiaries in UK and
Canada braches in Us Singapore.
With the change in the corporate sector structure
and the budding competition in the Indian Banking
Industry, the management of both ICICI and ICICI bank
were of the opinion that a merger between the two
entities would prove to be an essential step. It was in
2001 that the Boards of Directors of ICICI and ICICI
bank sanctioned and amalgamation of ICICI and twoof
its wholly-owned retail finance subsidiaries, ICICI
personal financial services Ltd and ICICI capital service
Ltd, with ICICI bank. In the following year, the merger
was approved by its shareholders, the high court of
Gujarat at Ahmedabad as well as the high court of
judicature at Mumbai and the Reserve Bank Of India.
History of ICICI Bank
ICICI Bank was originally promoted in 1994 by
ICICI LTD, an Indian financial institution, and was its
wholly owned subsidiary. ICICI’s shareholding in
ICICI bank was reduced t 46% through a public
offering of shares in India in fiscal 1998, an equity
offering ADRs listed on the NYSC in fiscal 2000,
ICICI’s bank acquisition of Bank of Madura in an all
stock amalgamation in fiscal 2001, and secondary
market sales by ICICI to institutional investors in
fiscal 2001 and 2002.
