HISTORY
• 1981 – Infosys is established by N. R. Narayana Murthy and
six engineers in Pune, India, with an initial capital of US$ 250.
Signs up its first client, Data Basics Corporation, in New York.
• 1983 – Relocates corporate headquarters to Bangalore
• 1993 – Introduces Employee Stock Options (ESOP) program ,
Acquires ISO 9001/Tick IT certification and goes Public
• 1996 – The Infosys Foundation is established
• 1998 – Starts Enterprise Solutions practice
• 1999 – Touches revenues of US$ 100 million. Listed on NASDAQ.
• 2009 – Infosys selected as a member of the Global Dow.
Employee strength grows to over 100,000.
• 2011 – N. R. Narayana Murthy hands over chairmanship to K. V.

The stock exchange board of India received anonymous whistleblowers complaints alleging certain unethical
practices by the top managements.

POOR CORPORATE GOVERNANCE SCORE:

Standard and poor governances service assigned CGS ( corporate governance score )- 8.6 to Infosys
technologies . this is the first instances of S&P assigned CGS to any Indian entity.

The overall CGS is a result of four components scores with a scale of a 1 (law) to 10 ( high) Infosys has scores
nine for ownership structure and influences; 8.3 for financial stakeholder rights and relations; 9.2 for
financial transparency and information and disclosure and 8.0 for boards structure and process.

CRISIL RATING:

CRISIL assigned the company the ‘CRISIL GVC Level 1’( Governance and Value Creation Level 1) rating
indicates the capability to create wealth for all stakeholders while adopting sounds corporate governance
practices.

ICRA assigned ‘CGR 1(’Governance Rating 1 )rating to the company for their corporate governance
practices.
