MMTC FOR PROCUREMENT OF 12.5 MMT(+/-2%) OF IMPORTED COAL FOR THE YEAR 2009-10 Highlights • Agreed to invite bids for the subject package for supply of imported coal to NTPC – only after receipt of Letter of Intent from NTPC – and stipulating the same range of Coal Quality specifications • Further agreed to furnish their evaluated lowest bid • Agreed to import and sell Coal on 'FOR DESTINATION' basis at NTPC Power Key Points Period of Agreement • Agreement comes into force with effect from – the date of signing of Agreement and – shall remain in force for a period of Eighteen (18) months from the date of signing of Agreement and – further extendable by mutual consent. Scope of Work • Import of Coal to Indian Ports, arranging vessels, stevedoring, handling, storage, port clearances, arranging Railway rakes, loading, transportation and delivery at NTPC power station(s). • All other activities for clearing and forwarding of the consignments like customs clearance, coordination with Port, Railways and any statutory authorities shall also be part of Scope of Work of MMTC. • Unloading of Coal at Power Station (s) end from railway Wagons shall be arranged by NTPC. Coal Prices (Port Based) • C&F Price (US Dollar rate per Metric Tonne (PMT) converted to Indian Rupees on the basis of applicable exchange rate) arrived at as detailed in the Pricing Methodology at Annexure-A1 Fixed Component (Port Based) • Stevedoring, Handling, Clearing & Forwarding charges. • MMTC's Service Charges (Margin) @ Rs. 34/-Per MT As Per Actuals • Customs Duty • Railway freight • Insurance charges • Sales taxi VAT, and other statutory duties • Port charges Notes • The price, arrived at linking the FOB prices & Ocean Freight with CERC's methodology of indexation, will be with respect to quality parameters guaranteed by MMTC, within the quality range, as finalized with their overseas Suppliers. • The fixed component will be specific to a particular port and C&F price, arrived at as detailed. in the Pricing Methodology at Annexure-AI, is convertible to Indian Rupees as per the exchange rate (TT Selling) prevailing on the date of remittance by MMTC. • The actual costs will be evidenced by documentary proof either before or after release of payment by NTPC. Notes • Total Customs duty, Railway freight and Port charges paid on actuals will be reimbursed to MMTC • irrespective of the quantity determined at NTPC stations. • All other elements of Cost including C&F Price, MMTC's Service Charges (Margin) shall be adjusted on the basis of quantity and quality variations at the Power Station for the purpose of payment. Notes • MMTC shall import this coal through various discharge ports in India in such a way that the landed cost of coal at Power Station(s) is optimum considering the technical viability of Coal movement by Railwaysj"rom port(s) to Power Station(s}, the details of which shall be provided to NTPC • All other charges like Demurrage/ Despatch, Wharfage, Overloading/Under loading charges etc. as applicable for Ports and Railways shall be to the account of MMTC. • Any delay/detention charges of Rakes at NTPC Power Station shall be to the account of NTPC. with base date being 11.09.2009: • FOB Index : 63.74 • Ocean Freight Index :441 Quantity Determination • Quantity determination of imported coal shall be at NTPC Power Station, subject to adjustment due to variations over the quality parameters, if any and payments thereof shall be based on such determination at. Power Station. • The Coal delivered shall be weighed at NTPC Power Stations. The weight recorded by Weighment System of NTPC having an electronic print-out facility shall be taken as final after consideration of empty rake weight. • In case NTPC Power Station Weigh Bridge is out of order, weight as determined by Railways Weigh Bridge at near by station shall be final for determining the weight at NTPC Power Station. • If rake weight can not be determined by the above two process, Actual RR weight will be considered as final for determination of quantity at Power Station. Quality Inspection • Quality determination of imported coal shall be at NTPC power station and payment thereof will be based on such determination at power Station. • MMTC shall ensure the appointment of Independent Inspection Agency • NTPC at its discretion and cost can also appoint an independent inspection agency to carry out Sampling and quality analysis at Load Port, Discharge Port and NTPC Power Station Quality Inspection • Sampling and Testing of coal samples drawn at NTPC's Power Station end – Coal samples at NTPC's Power Station end, shall be drawn from each rake and prepared for analysis by IIA in the presence of NTPC representative in accordance with the American Standards for Testing materials Adjustment on Quality Variations • In the event of variations over the quality parameters guaranteed by MMTC within the quality range, as finalized with their overseas Suppliers, suitable adjustment shall be carried out as per the formula provided hereinafter: – Total Moisture – Gross Calorific Value {Air Dried Basis (ADB)} – Ash Content (ADB) – Sulphur (ADB) – Adjustment on quality variation within the range other than the – parameters indicated at 8 a), 8 b), 8 c) & 8 d) shall not be carried out.
