PROPOSED NAME OF BUSINESS TO BE REGISTERED

STEP 1

Complete Form 13A (Request for Availability of Name).

Process & ensure whether the suggested name can or cannot be used.

If approved, name will be kept for 3 months from the date approval.

Name must be totally in Malay or English & cannot more than 50 letters.

The payment charged is RM30 for each application.

STEP 2
RESERVATION OF THE APPROVED NAME
After approval granted, the applicant must reserved the name within 30 days.

This done by completing & submitting Form 14. Reservation charge RM25

PREPARING AND SENDING THE DOCUMENTS
Submit for registration within 2 months from the date Form 14 is received.

Attach the following documents: Memorandum of Association Outlines the power & limitation Articles of Association Defines the internal procedures Form 6 Statutory Declaration of Compliance

Form 48A Before Appointment as Founder or Director before incorporation

Form 18 Compliance by company that does not issue prospectus 4/17/12 statement

STEP 4
STAMP DUTY AND REGISTRATION FEE
Stamp duty of RM100 will be imposed & the same fee applies for the Articles of Association.

A registration fee of RM1,000 will be imposed to company have share capital.

For company has share capital, fee is based on the authorized share capital.

CORPORATE DECLARATION CERTIFICATE

After application been approved & all regulation have been adhered to, the company registrar will issue Form 9 which is the Certificate of Incorporation for a private limited company.

STEP 5

Corporate Declaration Certificate: RM200 for first copy RM20 for second copy RM5 stamp on the original copy
4/17/12 RM2 stamp on the second copy depending on the authorized capital

STEP 6
COMMENCEMENT OF BUSINESS
Having share capital is required to file for the Certificate of Commencement of business.

Attach the following documents: Form 24 Breakdown of Allotted Shares Form 32 Signature of director or managing director or manager or secretary Form 44 Notice of Legal Business Address Form 49 Detailed Statement by Director, Manager & Company Secretary

STEP 7 DURATION AND DISSOLUTION

Once a company is incorporated it maybe dissolved in accordance with the provision & process set out in the Companies Act 1965.
