The strategic due diligence involves analyzing the target company, its business model, markets, and competitive position, scrutinizing its business plan, verifying and
quantifying potential sources of synergies and additional value creation, identifying potential hidden risks, and reviewing the feasibility of the deal. Beyond the
strategic due diligence, there are additional modules that scrutinize the financial, legal, tax, technological, and environmental situation of the target company. The
complexity of the process, tight time frame, and broad scope of the due diligence require stringent project management by the extended deal team that typically
involves experts from within and outside the company, including investment bankers, lawyers, auditors, and strategy consultants.
Acquisition process
1. Valuation
The valuation is typically split into three components that are separately
modeled: stand-alone value of the target, improvement potential, and
synergies from integration into the acquiring company. It is good
practice to not only quantify the intrinsic value of the target based on a
discounted cash flow (DCF) calculation but to also derive a relative
valuation from actual market values of comparable listed companies or
recent transactions (multiples-based valuation).

Faktor Kunci Sukses Divestasi Bisnis yang Menciptakan Nilai :
1. Motivasi → harus jelas bukan hanya berdasarkan kinerja saja tapi juga dari perspektif strategis, keuangan, kepemilikan, risiko, dan portfolio
secara keseluruhan, apakah nantinya akan menciptakan nilai atau tidak.
2. Rencana bisnis yang ambisius tetapi masuk akal harus disiapkan → memicu minat investor, menunjukkan potensi, membangun keyakinan dan
kepercayaan, dan mencegah under valuation.
3. Adanya keterlibatan → keterlibatan manajemen BU dan manajemen korporasi dalam berkomunikasi di proses divestasi, untuk menentukan
langkah/implementasi selanjutnya.
4.. Waktu transaksi → divestasi berkaitan dengan penjualan aset di pasar modal jadi harus diperhatikan supaya bisa mendapatkan valuasi tinggi
dan minat yang tinggi.

awal yang baik tetapi juga membatasi dampak negatif pada bisnis yang tersisa.

Latar Belakang Studi Kasus
In November 2005, Robert Iger, the newly pointed ceo of the Walt Disney Company, eagerly awaited the box
office results of Chicken Little, the company’s second computer – generated (CG) feature film. He knew that,
for Disney as a whole to be successful, he had to get the animation business right, particulary the new CG
technology that was rapidly supplanting hand-drawn animation. Yet the company had been reliant on a
contract with animation studio pixar, which has produced hits such as Toy Story dan Finding Nemo; for most
of its recent animated film revenue. And the co production agreement, brokered during the tenure of his
predecessor, Michael Eisner, was set to expire in 2006. Unfortunately contract renewal had broken down in
2004 amid reports of personal conflict. When he assumed his new role, Iger reopened the lines of
communication between the companies. In fact, he had just struck a deal with Steve Jobs (director of Pixar) to
sell Disney-owned. Iger knew that a deal with Pixar was possible, it was just a question of what that deal look
like. Did it make the most sense for Disney to buy Pixar?.
