 THEME PRESENTATION
As stated in the United States Uniform Commercial Code (U.C.C.), “A
contract is a collection of legal rights and obligations based on the
legal model of this ordinance, which is born from the agreement
between the parties and applies other conditions.”
Theo Bộ luật Thương mại của Hoa Kỳ (Uniform Commercial Code _
U.C.C.) “HĐ là tổng thể các quyền lợi và nghĩa vụ pháp lý căn cứ vào
mô hình pháp quy về pháp lệnh này ra đời từ sự thỏa thuận giữa các
bên và vận dụng các điều kiện khác.”
 a. Basic Concepts of Contracts
A contract is
(1) a legal act: protected and bound by the state; failure to do so will
result in legal liability
Hợp đồng
(1) là một hành vi pháp lý: có sự bảo vệ, vràng buộc của nhà nước;
nếu không tuân thủ sẽ chịu trách nhiệm trước pháp luật.
 (2) a legal act; an agreement provided for by law
là hoạt động hợp pháp; là sự thỏa thuận theo quy định của pháp luật.
(3) An agreement between two or more parties
là sự thỏa thuận giữ hai bên hoặc nhiều bên.
(4) Equal and voluntary conduct
hành vi bình đẳng và tự nguyện.
 b. Main Features of International Business Contracts
Đặc Điểm HĐ Thương Mại Quốc Tế
• Both parties are not of the same nationality.
Cả hai bên không cùng quốc tịch.
• The object of the contract is outside or beyond the territory of either
party.
Khách thể/ Đối tượng của HĐ diễn ra bên ngoài, hoặc vượt ra ngoài
lãnh thổ của các bên tham gia.
 • A legal matter outside the territory of either party.

Một vấn đề pháp lý nằm ngoài lãnh thổ của bên này hoặc bên kia.

 SALES AGREEMENT
This Agreement was made and entered into as of July 1, 2005 by and
between Robert Inc., a New York corporation, incorporated and existing
under the laws of the State of New York, USA, and having its principal
office at East 265, 2nd Street, New York, NY 10022, USA (“Robert”), and
JEX Limited, a Japanese corporation, incorporated and existing under the
laws of Japan, and having its principal office at 3 - 11, Kanda-jimbo-cho,
Chiyoda-ku, Tokyo 101-0051, Japan (“JEX”).

HĐ này được thoản thuận & kí kết ngày 01 tháng 7 năm 2005 giữa
Robert Inc., một công ty ở NY, được thành lập và hoạt động theo luật pháp
của bang NY, Hoa Kỳ, có văn phòng chính đặt tại East 265, 2nd Street, New
York, NY 10022, USA (“Robert”), và JEX Limited, một công ty của Nhật
được thành lập và hoạt động theo luật pháp của Nhật, có văn phòng chính
đặt tại 3-11, Kanda-jimbo-cho, Chiyoda-ku, Tokyo 101-0051, Japan
(“JEX”).
 Whereas, Robert has been engaged in the business of manufacturing,
distributing, selling and exporting semiconductors hereinafter more
particularly specified (“Products”);

Xét rằng, Robert đã tham gia sản xuất, phân phối, bán và xuất khẩu các
chất bán dẫn (sẽ được xác định rõ hơn trong phần “Sản phẩm”);
Whereas, JEX has been engaged in the business of distributing and
selling various types and kinds of semiconductors in Japan and other
countries;
Xét rằng, JEX đã tham gia phân phối và bán nhiều kiểu và loại chất
bán dẫn khác nhau ở Nhật và các nước khác;
 Whereas, Robert is willing to export and sell the Products to JEX
subject to the terms and conditions hereof; and
Xét rằng, Robert sẵn sàng xuất khẩu và bán sản phẩm cho JEX theo
các điều khoản và điều kiện của HĐ này; và
Whereas, JEX is desirous of purchasing the Products from Robert;
Xét rằng, JEX muốn mua sản phẩm của Robert;
 NOW, THEREFORE, in consideration of the foregoing and the
obligation hereunder, the parties hereto agree as follows:
Nay, xem xét các điều đề cập ở trên và các nghĩa vụ dưới đây, các bên
liên quan thỏa thuận như sau:
Section 1: Definitions
Mục 1: Các Định Nghĩa
For purposes of this Agreement, the following terms have the following
meanings, respectively:
Trong hợp đồng này các điều khoản sau đây có nghĩa tương ứng như
sau
a. “Products” means certain semiconductors to be produced and
supplied by Robert in accordance with and subject to the Specifications
“Sản phẩm” có nghĩa là chất bán dẫn do Robert sản xuất và cung cấp
phù hợp với các thông số kỷ thuật/tiêu chuẩn chất lượng như sau.
b. “Territory” means Japan and other countries agreed upon by Robert
and JEX.
“Khu vực” có nghĩa là Nhật Bản và các nước khác đã được Robert và
JEX đồng ý
c. “Specifications” means the specifications of the Products described
in Exhibit attached hereto.
“Quy cách” có nghĩa là các quy cách phẩm chất của sản phẩm được
mô tả trong tài liệu đính kèm theo HĐ này.
 Notes
• “means” : “có nghĩa là” (It should be in present tense)
“shall” means: (formal) used in legal documents

 Section 2: Sale of Products
Mục 2: Bán Sản Phẩm
Robert shall sell Jex, and Jex shall purchase from Robert the Products
in accordance with and subject to the terms and conditions set forth
herein
Robert sẽ bán cho JEX, và JEX sẽ mua của Robert sản phẩm phù hợp
với các điều khoản và điều kiện được nêu trong HĐ này
 Section 3. Individual Agreements
Mục 3: Hợp Đồng Riêng lẻ
The quantity, delivery date and place, and other items necessary for
individual transactions shall be described in the Individual Agreements
to be separately agreed upon by the Parties.
Số lượng, ngày tháng, địa điểm giao hàng, và các điều khoản khác cần
thiết cho từng giao dịch sẽ được mô tả trong các thỏa thuận riêng do
các bên ký kết.
 Section 4. Inspection
Mục 4: Kiểm Tra
Upon arrival of the Products at the port of destination agreed upon in
the Individual Agreements, JEX shall immediately inspect the Products
at its cost and expense. If JEX finds that the Products fail to conform
to the Specifications, JEX shall, within twenty (20) days after the date
of such arrival, give Robert written notice stating such nonconformity.
Ngay khi Hàng được chở tới cảng đến theo quy định trong các
thỏa thuận riêng, JEX sẽ kiểm tra số Hàng hóa này bằng chi
phí của mình. Nếu thấy Hàng không đúng với quy cách phẩm
chất, trong vòng hai mươi (20) ngày sau ngày số Hàng này
đến, JEX sẽ gửi cho Robert thông báo bằng văn bản nêu rõ
Hàng không phù hợp.
Failure to give such notice to Robert within such period shall constitute
a waiver of JEX’s right to claim, and such Products shall be deemed to
be accepted by JEX.
Nếu không gửi thông báo như vậy cho Robert trong khoảng thời gian
này thì coi như JEX bỏ quyền khiếu nại của mình và được cho rằng
chấp nhận hàng.
 Upon arrival: Ngay khi đến.
Twenty (20) days after the date of such arrival: hai mươi (20) ngày sau ngày
số hàng đến.
Failure to give such notice: nếu không gửi thông báo như vậy (bằng văn
bản)
Constitute a waiver of JEX’s right: sựviệc đó có nghĩa là/ được xem như
JEX bỏ quyền của mình.
Be deemed to: có nghĩa là /được cho rằng
 Section 5: Price

Mục 5: Giá Sản Phẩm

The price of the Products to be sold to Jex shall be described in Exhibit

Giá của các sản phẩm bán cho Jex sẽ là giá được mô tả trong “Tài liệu

đính kèm”.
